General Terms and Conditions

1. General

1.1 These General Terms and Conditions (hereinafter referred to as "GTC") govern the contractual relationship between you, the Customer (consumer or entrepreneur), and Vivien Paul Coaching & Consulting, Fuchsenweg 42, 92637 Weiden, Germany (hereinafter referred to as “Provider,” “we,” or “us”).

 

1.2 The version of the GTC valid at the time of contract conclusion applies. Changes to these GTC will be communicated in writing or by email with reasonable notice.

 

2. Conclusion of Contract

2.1 The presentation of digital and coaching products does not constitute a legally binding offer. The Customer’s order represents a binding offer under § 145 BGB.

 

2.2 The contract becomes effective once we confirm your booking via email or an automated order process.

 

2.3 Orders can be placed via direct contact, Calendly, email, Wix, Elopage, or other booking/payment platforms.

 

2.4 The contract is concluded in English or German.

 

2.5 The Customer is responsible for providing a valid and accessible email address.

 

2.6 For digital products, the Provider grants the Customer a non-exclusive, non-transferable license for private and professional use. Distribution to third parties or public sharing is not permitted without explicit written consent.

 

3. Payment Terms

3.1 Payment is due upon booking, unless otherwise agreed. Options include:

 

Bank transfer

PayPal

Credit card

3.2 Payments can be made as:

 

One-time payment

Installments (subject to agreement)

Deposit + remaining balance

3.3 Prices are stated net (excluding VAT) unless otherwise indicated. VAT applies according to German tax law.

 

4. Delivery of Services

4.1 Digital products (such as pre-recorded programs, courses, meditations) will be delivered via email, download link, or coaching platform (e.g. Elopage, Wix).

 

4.2 Access to services like live sessions, group coaching, or 1:1 calls will be scheduled as outlined in the specific offer.

 

4.3 Pre-work, access instructions, and relevant details will be provided after confirmation of booking.

 

5. Retreats and Offline Events

5.1 For offline events or retreats, no refunds will be issued in case of cancellation by the participant. Participation is transferable to another person with prior agreement.

 

5.2 In case of force majeure, illness, political instability, or insufficient participant numbers, the Provider reserves the right to reschedule or cancel the event. In such a case, an alternative date will be offered. Travel and accommodation costs are the participant’s responsibility and will not be reimbursed.

 

6. Right of Withdrawal / Refund Policy

6.1 Digital Products & Coaching Programs:

Due to the nature of digital content and coaching services that begin upon booking, no withdrawal or refund is granted according to § 356 Abs. 5 BGB.

 

6.2 Retreats & Offline Events:

Bookings are binding. Refunds are not available under any circumstances.

 

6.3 Live Coaching Containers & Courses:

Refunds are not provided. Payment plans must be honored even if the participant chooses not to attend. Exceptions or deferments may be granted on a case-by-case basis and require written agreement.

 

7. Intellectual Property

7.1 All content, frameworks, workbooks, videos, and coaching tools are the intellectual property of Vivien Paul Coaching & Consulting.

 

7.2 You may use them for personal or professional development, but not redistribute, resell, or publish them without written permission.

 

8. Liability

8.1 The Provider is liable only for intent and gross negligence. Liability for slight negligence applies only in the event of a breach of essential contractual obligations.

 

8.2 No liability is assumed for results not achieved. The implementation and success of the coaching and mentoring depend on the active participation and responsibility of the Customer.

 

8.3 The Provider does not guarantee specific income, transformation, or outcomes.

 

9. Disclaimer

9.1 Coaching does not replace medical, psychological, or legal advice.

 

9.2 Customers are responsible for their own physical, mental, and emotional well-being throughout the coaching and course participation.

 

10. Data Protection

The Provider processes personal data only for the purpose of fulfilling the contract and in accordance with the General Data Protection Regulation (GDPR). Full details can be found in our [Privacy Policy – insert link].

 

11. Governing Law & Jurisdiction

11.1 All contracts are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.

 

11.2 The place of jurisdiction is the registered office of the Provider if the Customer is a merchant or does not reside in a member state of the European Union.

 

12. Final Provisions

12.1 If any provision of these GTC is or becomes invalid, the remaining provisions remain unaffected. The invalid provision shall be replaced by a valid one that comes closest to the intent of the original.
